Marvell Technology shares rose 9.9% to $237.27 after the semiconductor company disclosed an expanded custom-chip partnership with Alphabet's Google unit. The move reflected expectations that the agreement could materially enlarge Marvell's role in artificial-intelligence infrastructure.
The commercial agreement covers AI inference accelerators, storage controllers, network-interface controllers, memory-interface controllers and near-memory computing products. These components broaden the relationship beyond a single processor and connect Marvell to several layers of Google's data-centre architecture.
Marvell issued Google a warrant to buy up to 58.97 million shares at $206.58 each, implying a maximum exercise value of about $12.18 billion. That figure is not an immediate equity investment or guaranteed cash inflow because Google must earn the right to buy most of the shares.
About 1.36 million shares vest in equal quarterly instalments during the first year. The remaining 57.61 million are divided into 240 tranches through the end of Marvell's fiscal 2033, with one tranche vesting for each $500 million of qualifying custom-product revenue from Google and its affiliates.
Full performance-based vesting would therefore require roughly $120 billion of qualifying revenue. The warrant is exercisable through August 18, 2033, subject to vesting and customary adjustments; the commercial agreement was executed on July 29 and the warrant issued on August 18.
The announcement confirms Marvell's entry into AI inference accelerators for a hyperscale customer and complements its work with Amazon and Microsoft. It also illustrates how cloud companies are using custom silicon to diversify AI compute supply and reduce dependence on general-purpose accelerators.
Broadcom shares fell 4.6% as investors considered possible pressure on its Google business. Google already sources custom AI technology from Broadcom and MediaTek, but the new Marvell work does not establish that those suppliers have been displaced or that Marvell will design Google's principal TPU generations.
Analysts treated the agreement as a major positive, while Marvell moved above its 50-day average ahead of fiscal second-quarter results scheduled for August 27. The near-term share reaction is confirmed; revenue scale, programme mix and competitive effects remain conditional on product execution and Google's purchases.
