Instinct Bio Technical Company Holdings completed its business combination with Relativity Acquisition Corp., converting the regenerative-medicine company into a U.S.-listed group. Common shares and warrants were expected to begin Nasdaq trading on July 24 under BIOT and BIOTW.
The combined company entered the market with a pro forma enterprise value of approximately $288 million. The announcement did not disclose consideration, post-transaction ownership or dilution figures, limiting an assessment of how the value is divided among existing and new holders.
Instinct Bio describes a vertically integrated model combining proprietary stem-cell technology, internal manufacturing and regenerative-health and skincare brands. It also characterizes the business as revenue generating, distinguishing its public-market pitch from development-stage biotechnology companies without commercial products.
Operations span Tokyo, Las Vegas and New York, alongside an established commercial presence in Asia. The Nasdaq listing is intended to add U.S. market visibility and a publicly traded acquisition and financing currency to that geographic base.
Management identified five growth channels: regenerative-medicine research, manufacturing scale, product commercialization, strategic partnerships and selective acquisitions, and international expansion. These are plans rather than completed results and will require capital allocation disclosures after listing.
The company cited a projected longevity and wellness market expanding from $27.6 billion in 2025 to $67 billion by 2035. That projection covers several segments, including regenerative medicine, cell-based products and skincare, and is not a revenue forecast for Instinct Bio.
Chairman and CEO Tomoki Nagano presented the listing as a platform for scaling technology, production and sales. The next tests are Nasdaq trading, audited public-company reporting, disclosure of transaction ownership and evidence that commercial revenue and manufacturing capacity can support the stated expansion strategy.
